Terms & Conditions

This agreement (“Agreement”) is made and entered into on the date of acceptance by the Client and by Dadi Designs.

 

  1. Scope of Work. Dadi Designs will perform the web design and development services (“Services”) described in the pricing section of the website and any additional tasks mutually agreed upon in writing by the parties (“Work”).
  2. Payment. The Client will pay Dadi Designs the fees set forth in the Pricing Section (“Fees”). Dadi Designs requires a 50% deposit of the total project cost before beginning work, with the remaining balance due upon completion of the Work. All fees are non-refundable.
  3. Termination. Either party may terminate this Agreement at any time upon written notice to the other party. Upon termination, the Client will pay Dadi Designs for all Services performed through the date of termination and for any expenses incurred by Dadi Designs in connection with the Work.
  4. Intellectual Property Rights. Dadi Designs retains all intellectual property rights to any materials, including designs, trademarks, and copyrighted works, created by Dadi Designs prior to, during, or after the term of this Agreement (“Materials”). Dadi Designs grants the Client a limited, non-exclusive, non-transferable license to use the Materials for the sole purpose of the Work. The Client may not use the Materials for any other purpose without the prior written consent of Dadi Designs.
  5. Warranty. Dadi Designs warrants that the Work will be performed in a professional and workmanlike manner. Dadi Designs does not warrant that the Work will be error-free or that it will meet the Client’s specific requirements.
  6. Indemnification. The Client will indemnify and hold Dadi Designs and its affiliates, officers, agents, and employees harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of the Client’s use of the Work, the Client’s violation of this Agreement, or the Client’s violation of any rights of another.
  7. Governing Law. This Agreement will be governed by and construed in accordance with the laws of Kenya.
  8. Entire Agreement. This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, whether oral or written. This Agreement may not be amended or modified except in writing signed by both parties.
